Terms of Service & Commercial Conditions

By accessing our website (salowtech.com), engaging Salow Technologies for development services, signing a Statement of Work (“SOW”), or using any proprietary software artifacts, you confirm that you have read, understood, and agreed to be legally bound by these Terms of Service.

If you are entering into this agreement on behalf of a corporate entity, partnership, or limited liability company, you represent and warrant that you possess the full legal authority to bind that entity to these Terms. If you do not agree with any provision of these Terms, you must discontinue all access and use of our services immediately.

Salowtech provides enterprise engineering, custom software development, digital automation, and consulting solutions, including without limitation:

• Custom ERP Platforms: Modular supply chain, inventory bin tracking, manufacturing BOM, and double-entry accounting engines.
• Omnichannel CRM Systems: Lead routing, WhatsApp Business API sync, automated telephony logging, and predictive deal scoring.
• HRM & Statutory Payroll: Biometric facial/fingerprint attendance integration, GPS geofencing, and automated PF/ESIC/TDS compliance.
• Autonomous AI Voice Assistants: Low-latency streaming speech-to-text, domain-tuned LLMs, and neural voice synthesis.
• Web & Mobile Engineering: High-performance web applications, native iOS/Android, and cross-platform Flutter mobile solutions.
• Search Optimization & GEO: Generative Engine Optimization, Core Web Vitals remediation, and high-intent schema architectures.

All project-specific features, schedules, deliverables, milestone payments, and acceptance criteria shall be specified in binding Statements of Work executed between the Client and Salowtech.

Certain services and staging environments require user authentication. You agree to maintain the absolute confidentiality of your credentials and accept sole responsibility for all actions executed under your credentials.

You must notify Salowtech immediately at [email protected] upon suspecting any unauthorized breach, credential compromise, or security incident. Salowtech reserves the right to suspend any credential that presents an active risk to infrastructure security.

Our services are provided strictly to commercial entities, registered companies, entrepreneurs, and individuals of legal age (at least 18 years under the Indian Contract Act, 1872, or the applicable age of majority in your jurisdiction) capable of entering into legally enforceable contracts.

You agree not to use our systems or deliverables to:

• Violate any federal, state, local, or international statute, including the Information Technology Act, 2000, and DPDP Act, 2023.
• Engage in unauthorized penetration testing, vulnerability fuzzing, denial-of-service, or automated scraping without prior written consent.
• Transmit malicious payload code, Trojan horses, spyware, ransomware, or illicit keylogger components.
• Circumvent licensing checks, copy proprietary pre-existing architectural templates, or misrepresent Salowtech's trademarks.

For deployments utilizing Salowtech AI Voice Assistant engines, the Client represents and warrants that:

• Synthetic voice models shall never be configured to impersonate any individual, government entity, financial institution, or public official without documented explicit legal consent.
• All automated calls placed through the voice assistant comply with statutory Telecommunications Commercial Communications Customer Preference Regulations (TCCCPR) and applicable national Do-Not-Disturb (DND) registries.
• Inbound and outbound callers are explicitly informed at the inception of the interaction that they are communicating with an automated artificial intelligence assistant.

Formal engagements begin with an executed Statement of Work. Each SOW details architectural specs, milestone deliverables, delivery schedules, fee breakdowns, and acceptance test procedures. In the event of a conflict between these Terms and an executed SOW, the terms of the specific SOW shall govern for that engagement.

Fees are quoted in Indian Rupees (INR) or United States Dollars (USD) as specified in the SOW. Milestone invoices are payable within the net terms stated on each invoice (default 15 calendar days from issuance).

All prices are exclusive of statutory taxes. Indian clients are subject to Goods and Services Tax (GST) at statutory rates. Late payments are subject to a commercial interest surcharge of 1.5% per month or the maximum rate permissible by law on overdue balances.

Ongoing infrastructure stewardship, maintenance, and telephony routing are governed by Service Level Agreements (SLAs). Our standard enterprise SLA commits to 99.9% core uptime excluding scheduled maintenance windows notified at least 48 hours in advance. Critical Priority-1 incidents receive engineering acknowledgement within 60 minutes.

Because custom enterprise software development involves dedicated engineering time, sprint resources, and bespoke architecture, advance milestone payments are non-refundable once engineering sprints have commenced.

If a Client requests project cancellation before milestone delivery, the Client remains liable for work completed up to the cancellation notice date, and Salowtech shall deliver all intermediate source code artifacts created up to that point upon settlement of accrued fees.

The Salowtech Sovereign Software Doctrine:

Upon final settlement of milestone invoices for custom deliverables specified in an SOW, 100% full, perpetual, irrevocable source code ownership and intellectual property rights in the bespoke deliverables transfer to the Client. You are never subject to recurring per-seat user taxes or vendor lock-in.

Salowtech retains ownership of its pre-existing core libraries, foundational utility frameworks, design systems, and know-how developed independently of the Client engagement, and grants the Client a perpetual, royalty-free license to use and modify such embedded core libraries in conjunction with the deliverables.

Artificial intelligence and machine learning technologies are probabilistic by nature. While Salowtech configures domain-specific guardrails, retrieval-augmented grounding, and verification loops, Salowtech does not warrant that AI model outputs will be 100% free of hallucination or inaccuracy. Clients must implement human-in-the-loop review for high-stakes regulatory or clinical actions.

Our platforms frequently interface with third-party service providers (e.g., WhatsApp Business API, Twilio, OpenAI, AWS, Google Cloud, Razorpay). Salowtech is not responsible for outages, rate limits, or unilateral policy changes implemented by third-party platforms outside Salowtech's direct control.

Each party agrees to hold all proprietary trade secrets, business logic, customer databases, and software architectures disclosed during the engagement in strict confidence. Neither party shall disclose Confidential Information to any third party without prior written consent, except to employees, subcontractors, and legal counsel with a need to know.

Both parties acknowledge their statutory duties under the Digital Personal Data Protection Act, 2023 (DPDP Act) and the DPDP Rules, 2025. Where Salowtech processes personal data on behalf of the Client, Salowtech acts strictly as a Data Processor, processing personal data solely pursuant to documented client instructions.

Salowtech warrants that custom software deliverables shall substantially conform to the specifications set forth in the applicable SOW for a warranty period of thirty (30) days following commercial acceptance. Salowtech shall make reasonable commercial efforts to remediate reproducible code defects reported during this warranty period at no additional charge.

To the maximum extent permissible by law, in no event shall Salowtech, its directors, engineers, or affiliates be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages (including loss of profits, data corruption, or business interruption) arising out of or in connection with the deliverables.

Salowtech's aggregate liability for all claims arising out of an engagement shall in no event exceed the total fees actually received by Salowtech from the Client under the specific SOW giving rise to the claim during the six (6) months preceding the event.

The Client agrees to defend, indemnify, and hold harmless Salowtech and its personnel from and against any third-party claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from: (a) Client data provided to Salowtech; (b) Client’s violation of applicable law; or (c) Client’s deployment of AI voice assistants in violation of consumer telemarketing regulations.

Either party may terminate an engagement for material breach upon thirty (30) days written notice if the breaching party fails to cure the breach within that notice period. Salowtech may immediately suspend services if Client accounts are overdue by more than thirty (30) calendar days or if an active security hazard is detected.

These Terms shall be governed by and construed in accordance with the substantive laws of India, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to this contract shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat and legal place of arbitration shall be Surat, Gujarat, India. The arbitration proceedings shall be conducted in the English language before a sole arbitrator mutually appointed by the parties.

Subject to arbitration, the civil courts situated in Surat, Gujarat, India shall exercise exclusive jurisdiction over any auxiliary legal proceedings.
